RYD4U TERMS OF SERVICE

Operated by Defender Nation, Inc. | Effective date: October 13, 2026 | Last updated: October 13, 2026

IMPORTANT: PLEASE BE ADVISED THAT BY AGREEING TO THESE TERMS YOU ARE WAIVING YOUR RIGHT TO SEEK RELIEF IN A COURT OF LAW AND WAIVING YOUR RIGHT TO HAVE A JURY TRIAL ON YOUR CLAIMS, UNLESS YOU OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 2.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN PROVISIONS THAT GOVERN HOW CLAIMS BETWEEN YOU AND RYD4U ARE RESOLVED, INCLUDING THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 2. THE ARBITRATION AGREEMENT REQUIRES YOU TO RESOLVE DISPUTES WITH RYD4U ON AN INDIVIDUAL BASIS AND, WITH LIMITED EXCEPTIONS, THROUGH FINAL AND BINDING ARBITRATION. YOU MAY OPT OUT OF THE ARBITRATION AGREEMENT BY EMAILING SUPPORT@RYD4U.COM WITHIN 30 DAYS AFTER YOU FIRST ACCEPT THESE TERMS.

These Terms of Service ("Terms of Service") are a legally binding agreement between you and Defender Nation, Inc., an Oklahoma-based company doing business as RYD4U, together with its subsidiaries, affiliates, officers, directors, and representatives (collectively, "RYD4U," "we," "us," or "our"). They govern your access to and use of the RYD4U technology platform, the RYD4U rider app, the RYD4U Driver app (each available for Android and iOS), the website at ryd4u.com, and any related content, features, and services (together, the "Services").

If you use the Services to provide rides as a driver, you also agree to the Supplemental Driver Terms in Section 7 of these Terms and to the driver contract option you select in the RYD4U Driver app (your "Driver Agreement"). If your Driver Agreement conflicts with these Terms of Service, your Driver Agreement controls for matters relating to providing rides; otherwise these Terms of Service apply.

1. CONTRACTUAL RELATIONSHIP; TERMINATION; AND MODIFICATION

Agreement and supplemental terms

In addition to these Terms of Service, your use of the Services is governed by the RYD4U Privacy Policy (available at ryd4u.com/privacy), the account deletion terms at ryd4u.com/delete-account, any offer terms, Quest rules, membership terms, gift card terms, and safety standards shown to you in the apps, and your Driver Agreement if you are a driver (collectively, the "Supplemental Terms"). These Terms of Service and the Supplemental Terms together are the "Terms." In these Terms, the words "including" and "include" mean "including, but not limited to."

These Terms govern your access to and use of the Services within the United States, including all 50 states and the District of Columbia (the "Territory"). By creating an account, checking a box to accept, or otherwise accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Services.

Termination

You may stop using the Services and delete your account at any time, at no cost, by going to Account, then Delete Account, in the app, or by following the instructions at ryd4u.com/delete-account. RYD4U may suspend or terminate these Terms or your access to any part of the Services if you materially breach these Terms, if we reasonably believe your account presents a safety, fraud, or legal risk, if required by law or a regulator, or if we stop offering the Services in your area. Where it is safe and lawful to do so, we will tell you the reason and give you an opportunity to respond as described in Section 6 (Ratings, Reports, Deactivation, and Appeals). Sections that by their nature should survive termination, including Sections 2, 8, 9, and 10, survive.

Modification

We may update these Terms from time to time. If we make a material change, we will notify you at least 14 days before the change takes effect by email, in-app message, or push notification, except where a change is required sooner by law or to address a safety issue. The "Last updated" date at the top shows when these Terms last changed. If you continue to use the Services after a change takes effect, you agree to the updated Terms. If you do not agree, stop using the Services and delete your account. A change to the Arbitration Agreement will not apply to any dispute of which RYD4U had written notice before the change took effect.

2. ARBITRATION AGREEMENT

By agreeing to these Terms, you and RYD4U agree to resolve any claim either may have against the other on an individual basis in binding arbitration as described in this Arbitration Agreement, and not as a class, collective, consolidated, mass, or representative action, unless you opt out as described in Section 2(i). Binding arbitration is a procedure in which a dispute is decided by a neutral arbitrator whose decision is final, instead of by a judge or jury. You and RYD4U are each waiving the right to a jury trial.

(a) Agreement to binding arbitration

(1) Covered disputes. Except as provided in Section 2(b), you and RYD4U agree that any dispute, claim, or controversy arising out of or relating to these Terms or prior versions of them; your access to or use of the Services; any ride requested, scheduled, or provided through the Services; incidents or accidents resulting in personal injury or death that you allege occurred in connection with the Services; or your relationship with RYD4U, will be settled by binding individual arbitration. This applies regardless of whether the dispute arose before or after you accepted these Terms, and it survives the end of your relationship with RYD4U.

(2) Class action waiver. All disputes will be resolved only in individual arbitration. You and RYD4U waive the right to have any dispute brought, heard, or decided as a class, collective, consolidated, or representative action, and an arbitrator has no authority to award relief to anyone other than the individual party in the arbitration. This waiver does not prevent either party from participating in a class-wide settlement of claims. If a court finally determines that any part of this class action waiver is unenforceable as to a particular claim, that claim (and only that claim) will proceed in a court of competent jurisdiction as described in Section 10, and will be stayed until any individual arbitrable claims are resolved.

(3) Mass arbitration. If 25 or more substantially similar arbitration demands are filed against RYD4U by or with the help of the same law firm or coordinated group of law firms within a 180-day period ("Mass Filing"), the demands will be administered in batches of no more than 50 demands, with one set of filing and administrative fees and one arbitrator per batch, and the arbitration provider's mass arbitration rules will apply where they do not conflict with this paragraph. The arbitrator will still decide each demand on an individual basis. Statutes of limitation are tolled for demands in a Mass Filing while they wait to be batched.

(4) Delegation. The arbitrator has exclusive authority to decide all issues relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, except that a court of competent jurisdiction decides disputes about the class action waiver in Section 2(a)(2) and about whether a dispute falls within an exception in Section 2(b).

(5) Third parties. This Arbitration Agreement also covers claims brought by or on behalf of anyone claiming through you, including your heirs, estate, and any minor for whom you scheduled a ride as a parent or legal guardian, to the extent permitted by law.

(b) Exceptions to arbitration

This Arbitration Agreement does not require arbitration of: (1) individual claims brought in small claims court, as long as the claim stays in that court and proceeds only on an individual basis; (2) claims of sexual assault or sexual harassment, which you may choose to bring in court as provided by the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act; (3) claims for injunctive or other equitable relief to stop actual or threatened infringement or misuse of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property; and (4) any claim that applicable law does not allow to be subject to a pre-dispute arbitration agreement. Claims covered by an exception may be brought in court only on an individual basis.

(c) Rules and governing law

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect when the demand is filed, as modified by this Arbitration Agreement. The AAA rules are available at adr.org. If the AAA is unable or unwilling to administer the arbitration, the parties will agree on another established arbitration provider, and if they cannot agree within 30 days, either party may ask a court to appoint one under 9 U.S.C. section 5. The arbitrator will be a retired judge or an attorney licensed to practice law with at least 10 years of experience. This Arbitration Agreement involves interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. section 1 and following ("FAA"). To the extent the FAA does not apply, it is governed by the Oklahoma Uniform Arbitration Act. All statutes of limitation that would apply in court apply in arbitration.

(d) Informal dispute resolution first

Most concerns can be resolved quickly by contacting us. Before either party starts an arbitration, the party with the claim must send the other a written notice describing the claim and the relief requested. Notices to RYD4U must be emailed to support@ryd4u.com with the subject line "Notice of Dispute" or mailed to Defender Nation, Inc., Attn: Legal, 2376 E Sooner Road, Blanchard, OK 73010, and must include your name, the phone number and email address on your RYD4U account, and a description of the claim. RYD4U will send any notice to you at the email address on your account. Within 60 days after the notice is received, the parties will meet by telephone or video conference in a good-faith effort to resolve the dispute. You must personally participate, and you may bring a lawyer. Completing this process is a condition to starting arbitration, and statutes of limitation and filing deadlines are tolled while it is underway.

(e) Starting arbitration

If the dispute is not resolved within 60 days after the notice is received, either party may start arbitration by filing a demand with the arbitration provider and sending a copy to the other party at the addresses in Section 2(d). By signing a demand, the filing party and its counsel certify that the demand is made in good faith, is not presented for any improper purpose, and is supported by fact and law, and the arbitrator may impose sanctions available under Federal Rule of Civil Procedure 11 or applicable state law for violation of this requirement.

(f) Location and hearings

Unless you and RYD4U agree otherwise, any in-person hearing will take place in the county where you live, or, if you do not live in the United States, in McClain County, Oklahoma. If your claim is for $25,000 or less, you may choose whether the arbitration is decided on documents only, by telephone or video conference, or in person.

(g) Arbitrator's decision

The arbitrator will issue a written decision explaining the essential findings and conclusions on which the award is based. The arbitrator may award any individual relief that a court could award, including declaratory or injunctive relief, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief for that party's individual claim, except for public injunctive relief where required by law. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction. A decision in one arbitration does not bind other arbitrations.

(h) Fees

RYD4U will pay all filing, administrative, and arbitrator fees for any arbitration you start, except that if you start the arbitration, you will pay the portion of the filing fee equal to the fee you would have paid to file a claim in court, up to the amount required by the AAA Consumer Arbitration Rules. If the arbitrator finds that a claim was frivolous or brought for an improper purpose, fees will be allocated as provided by the AAA rules. Each party pays its own attorneys' fees and costs unless applicable law or the arbitrator's award provides otherwise.

(i) Your right to opt out

YOU MAY OPT OUT OF THIS ARBITRATION AGREEMENT. To opt out, send an email to support@ryd4u.com within 30 days after the date you first accept these Terms (or, if you already had an account before the effective date of this version, within 30 days after you first accept this version). Use the subject line "Arbitration Opt-Out" and include your full name, the email address and phone number on your RYD4U account, and a clear statement that you are opting out of the RYD4U Arbitration Agreement. We will confirm receipt by email. Opting out does not affect any other part of these Terms, does not affect any other arbitration agreement you have with us, and will not affect how we treat you or your account. If you opt out, disputes will be resolved in court as described in Section 10.

(j) Severability and survival

If any part of this Arbitration Agreement is found unenforceable, that part will be severed and the rest will remain in effect, except that if the class action waiver is found unenforceable as to a claim, that claim must proceed in court and not in arbitration. This Arbitration Agreement survives termination of these Terms and deletion of your account.

3. THE SERVICES

What RYD4U does

RYD4U provides a technology platform that lets riders request rides and lets independent drivers find and accept ride requests. The Services include matching riders and drivers, upfront pricing, navigation through in-app maps, payment processing, masked calling and messaging, ratings, safety features, customer support, the RYD4U One membership, gift cards, business profiles, and driver Quests. RYD4U operates as a transportation network company ("TNC") where state law requires that status, and holds or applies for the permits required in each state where ride booking is available.

Where the Services are available

Riders and drivers in all 50 states and the District of Columbia may create accounts and drivers may complete sign-up and screening. Ride booking is available first in Ohio, Texas, and Oklahoma and will expand state by state. The apps show which areas currently accept ride requests. If ride booking is not yet available where you are, you may still create an account and we will notify you, with your permission, when it launches.

Drivers are independent

Once you request a ride, RYD4U notifies nearby available drivers of the opportunity. Each driver decides whether to accept a request, and you decide whether to accept a ride from a driver. Drivers who use the Services are independent contractors and not employees, agents, or joint venturers of RYD4U. RYD4U's safety standards, screening, insurance programs, required display of the RYD4U LED sign, and other policies are measures to protect riders, drivers, and the public and to comply with law. They do not make drivers employees or agents of RYD4U.

RYD4U IS NOT A COMMON CARRIER OR MOTOR CARRIER AND DOES NOT ITSELF TRANSPORT PASSENGERS, EXCEPT TO THE EXTENT A STATE LAW TREATS A TNC OTHERWISE. THE SERVICES ARE AVAILABLE ONLY TO REGISTERED USERS AND THE MINORS FOR WHOM A PARENT OR LEGAL GUARDIAN SCHEDULES A RIDE AS DESCRIBED IN SECTION 5.

App stores

You may download the RYD4U apps from the Apple App Store or Google Play. These Terms are between you and RYD4U, not Apple or Google, and RYD4U, not Apple or Google, is responsible for the apps and their content, maintenance, support, and any product claims. If you downloaded an app from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you, and you also agree to Apple's Licensed Application End User License Agreement, which these Terms control in case of conflict. Apple has no obligation to provide maintenance or support for the apps. You represent that you are not located in a country subject to a United States government embargo and are not on any United States government list of prohibited or restricted parties.

Ownership, license, and restrictions

The Services and all intellectual property rights in them belong to RYD4U or its licensors. Subject to your compliance with these Terms, RYD4U grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the RYD4U apps on devices you own or control, and to access content made available through the Services, solely for your personal use or, for business profiles and drivers, the business purposes these Terms permit. You may not use the RYD4U name, logo, LED sign, or other marks except as these Terms allow. You may not: remove proprietary notices; copy, modify, sell, resell, or distribute the Services; decompile or reverse engineer the Services except as permitted by law; scrape, crawl, or use automated means to access the Services; use the Services or their content to train machine-learning or artificial-intelligence models; interfere with or overload the Services; attempt to gain unauthorized access to any account, system, or network; or register any name or mark confusingly similar to RYD4U.

4. THIRD-PARTY SERVICES AND CONTENT

The Services include features provided by third parties, including Google Maps for maps and navigation, Stripe for payment processing and driver payouts, Apple Pay and Google Pay as payment methods, Twilio for masked calls and text messages, Firebase Cloud Messaging for push notifications, and a consumer reporting agency for driver background checks. Your use of those features may also be subject to the third party's terms and privacy policies, including the Google Maps Terms of Service and the Google Privacy Policy. RYD4U is not responsible for products or services provided by third parties outside the Services. If you follow a link that takes you out of the RYD4U apps or website, the other site's terms and privacy policy apply. If third-party terms conflict with these Terms as between you and RYD4U, these Terms control.

5. ACCESSING THE SERVICES: ACCOUNTS, MINORS, AND BUSINESS PROFILES

User accounts

To use most of the Services you must register for and keep an active account. You must be at least 18 years old to have an account. You may have only one rider account and one driver account, you may not transfer your account to anyone else, and you may not let anyone else use it, except that a parent or legal guardian may schedule rides for their minor child as described below. You must provide accurate account information, including your name, mobile phone number, email address, date of birth, and a valid payment method for rider accounts, and keep it current. We may ask you to verify your identity or age, and we may deny access if you refuse or we cannot verify it. You are responsible for all activity under your account and for keeping your password and verification codes secret. Tell us right away at support@ryd4u.com if you believe your account has been used without your permission. You may not create an account if you were previously banned from the Services. You authorize your wireless carrier to share information about your account and device with RYD4U and its service providers to verify your identity and prevent fraud while you have an account.

We may disable an account that is unverified, that we reasonably believe has been taken over and whose ownership cannot be confirmed, that is involved in fraud, or where required by law. We will not delete an active account for inactivity without first giving you at least 30 days' notice by email or in the app.

Riders 18 and older

Riders 18 and older may request rides for themselves and ride alone. You may request a ride for an adult guest. If you do, you are responsible for the guest's compliance with these Terms and for the charges on the ride, and you agree that the guest may receive ride status messages at the phone number you provide.

Minors may ride only on rides scheduled by a parent or guardian

Persons under 18 may not have their own RYD4U account and may not request rides. A minor who is at least 13 years old may ride without an adult only on a ride that the minor's parent or legal guardian schedules through the parent's or guardian's own RYD4U account using the in-app minor rider option. To schedule a ride for a minor, the parent or guardian must:

  • be the minor's parent or legal guardian and at least 18 years old;

  • enter the minor's first name and age (the minor must be at least 13 years old; children under 13 may not ride without an adult), and the pickup and drop-off locations;

  • confirm in the app that they consent to the ride, that the ride will be recorded as described below, and that they accept these Terms on the minor's behalf;

  • decide that the minor is mature enough to ride without an adult, and provide and correctly install any child safety seat or booster seat required by the law of the state where the ride takes place; and

  • remain reachable by phone during the ride.

Recorded minor rides. Every ride scheduled for a minor is recorded for safety. The RYD4U apps record the ride's live GPS location and route, timing, and in-app events, and the RYD4U Driver app records in-vehicle audio and, on devices that support it, in-vehicle video, from pickup until drop-off. The driver is told before accepting that the ride is a recorded minor ride, and an on-screen notice shows while recording is active. The parent or guardian can follow the ride's live location in the app. How these recordings are stored, who may access them, and how long they are kept are described in the "Minor ride recordings" section of the RYD4U Privacy Policy, which is part of these Terms.

The parent or guardian is responsible for the minor's conduct and for all charges on the ride, and these Terms apply to the parent or guardian and to the minor. Drivers may decline or end a minor ride if the minor is not the person named, if a legally required child seat is missing, or if safety requires it, and drivers may not pick up additional passengers on a minor ride. If an incident involving a minor occurs, RYD4U will notify the parent or guardian and may report the incident to law enforcement or child protection authorities in addition to any mandatory reporting obligation. RYD4U may refuse or cancel any minor ride where it reasonably believes the ride is not authorized by a parent or legal guardian.

Business profiles

A company or organization ("Business Customer") may create a RYD4U business profile, invite team members, and pay for business rides. The person who creates a business profile represents that they have authority to bind the Business Customer to these Terms. When you ride on a business profile, the Business Customer's administrators can see your business rides, including date, time, amount, pickup and destination, your name, and any expense memo, and may receive information about safety incidents on those rides. Personal rides are never shared with the Business Customer. Business Customers are responsible for paying for business rides, either by the payment method saved to the profile or, if RYD4U approves invoicing, within 30 days after the invoice date. Late invoice amounts may be suspended from further business rides until paid; RYD4U does not charge interest or late fees on invoices. A Business Customer may set monthly spending limits, ride-type limits, and other policies, and rides that exceed a limit will be blocked. RYD4U One business plans are described in Section 8.

6. USER CONDUCT AND REQUIREMENTS; SAFETY; COMMUNICATIONS; AND USER CONTENT

User conduct

You must comply with all applicable laws and these Terms and use the Services only for lawful purposes. Everyone who uses RYD4U must treat others with respect. You may not:

  • harass, threaten, assault, or discriminate against anyone on the basis of race, color, religion, national origin, disability, sex, sexual orientation, gender identity, age, marital status, or any other characteristic protected by law;

  • engage in any sexual contact or sexual conduct with a rider or driver, or make sexual comments or gestures;

  • use or possess illegal drugs or open containers of alcohol in a vehicle, or ride or drive while impaired;

  • carry a firearm or other weapon during a ride where prohibited by law or by RYD4U safety standards; RYD4U prohibits riders and drivers from carrying firearms of any kind during rides, except where state law requires that they be permitted, and in that case they must be carried only as that law allows;

  • damage a vehicle or property, or leave a vehicle dirty beyond normal use;

  • request a ride for an unlawful purpose, transport illegal items, or travel with more passengers than there are seat belts;

  • commit fraud, including creating fake accounts, manipulating fares, Quests, promotions, referrals, or ratings, or using stolen payment methods;

  • make or share recordings of other users except as allowed by these Terms and the law; or

  • contact a rider or driver outside the Services after a ride for any purpose other than returning a lost item through RYD4U support.

Service animals are always welcome on RYD4U rides at no extra charge, and drivers may not refuse a rider with a service animal or charge a fee because of one. Riders who use wheelchairs or other mobility devices that fold and fit safely in the vehicle may not be refused because of them. A driver may permit a pet that is not a service animal at the driver's discretion; the rider must keep the pet secured and is responsible for any cleaning or damage it causes.

Safety features

The RYD4U apps include safety features, which may include an emergency button that connects you to 911 and shares your location and ride details with emergency services, sharing your ride status with trusted contacts, pickup verification, driver photo and vehicle details, in-ride check-ins when a ride stops unexpectedly or goes far off route, optional audio recording for adult riders and drivers, and safety incident reporting. Safety features do not guarantee your safety. In an emergency, always call 911.

Incidents and accidents

To help RYD4U meet its insurance and legal obligations, you agree to report any accident, injury, property damage, or safety incident that occurs during a ride to RYD4U through the app or at support@ryd4u.com within 24 hours or as soon as you safely can, and to cooperate with any investigation.

Recording

Adult riders and drivers may use the in-app audio recording feature on any ride. Recordings made with this feature are encrypted and stored on the device that made them as described in the Privacy Policy. Minor rides are always recorded as described in Section 5. Laws about recording differ by state, and some states require the consent of everyone being recorded. By using the Services you consent to being recorded on any ride where the app shows that recording is active, and the app notifies everyone in the ride when recording starts. Outside these in-app features, you may not record other users without complying with all applicable laws, and you may never publish or share a recording of another user except with law enforcement, RYD4U, an insurer, or your lawyer in connection with an incident.

Ratings, reports, deactivation, and appeals

After each ride, riders and drivers may rate each other from 1 to 5 stars and leave feedback. Ratings are averaged over recent rides and shown to the other party on future ride requests. RYD4U reviews reports of unsafe or inappropriate behavior. If we receive a serious safety report, we may temporarily restrict the reported account while we investigate. We may permanently deactivate an account for serious safety violations, fraud, discrimination, repeated low ratings after notice, failure to keep driver eligibility, or other material breaches of these Terms. Except where notice would compromise an investigation or someone's safety, we will tell you in writing why your account was restricted or deactivated. You may appeal any deactivation by emailing support@ryd4u.com with the subject "Deactivation Appeal" within 30 days. A person who was not involved in the original decision will review your appeal and respond in writing, generally within 14 days.

Communications

By creating an account, you agree to receive communications from RYD4U, from drivers or riders through the Services, and from RYD4U's service providers, by email, text message, phone call, in-app message, and push notification, at the contact details on your account. These communications include ride updates, verification codes, receipts, safety messages, account notices, and, if you agree, promotions. Some messages may be sent using automated technology. Message and data rates may apply.

Calls and texts between riders and drivers are connected through a number-masking service so that neither party sees the other's real phone number. RYD4U does not record the audio of masked calls, but it keeps records that a call or text took place, and the text of in-app messages, for safety, support, and fraud prevention. Calls to and from RYD4U support may be recorded if we tell you so at the start of the call.

SMS terms. Text messages from RYD4U are sent to the mobile number on your account. Message frequency varies with your use of the Services. Reply STOP to any RYD4U text to stop receiving texts from that number, and reply HELP for help, or email support@ryd4u.com. After you reply STOP you will receive one final confirmation text. Opting out of texts may affect features that depend on them, such as driver arrival messages. Carriers are not liable for delayed or undelivered messages. RYD4U does not sell or share your phone number with third parties for their marketing. You can turn marketing emails and push notifications off at any time in the app settings or by using the unsubscribe link in any marketing email.

Using another person's or a business's account

If you use a feature that bills another person or business, such as a business profile or a ride scheduled for you by a parent or guardian, information about the ride, including its date, time, route, amount, and any safety incident, will be shared with the account owner. Data sharing with the account owner is a condition of using those features.

User content and feedback

You may submit content such as ratings, comments, photos, documents, reports, and messages ("User Content"). You keep ownership of your User Content, but you grant RYD4U a non-exclusive, worldwide, royalty-free, transferable license, for as long as RYD4U has a lawful reason to retain it, to use, copy, store, and display it to operate, protect, and improve the Services, to resolve disputes, and to comply with law. You may not submit User Content that is unlawful, false, defamatory, harassing, sexually explicit, or infringing. If you send us suggestions or feedback, we may use them without any obligation to you.

Network access and devices

You are responsible for the mobile device and data service you need to use the Services, and for any data and messaging charges from your carrier. The apps require location services and, for drivers, background location while online. The Services may be affected by delays and malfunctions inherent in the internet, mobile networks, and GPS, and RYD4U is not responsible for losses caused by them.

7. SUPPLEMENTAL DRIVER TERMS

This Section applies to you if you use the RYD4U Driver app. It is part of your Driver Agreement.

Eligibility and screening

To drive with RYD4U you must:

  • be at least 18 years old, or older if your state or city sets a higher minimum age for TNC drivers, in which case that minimum applies;

  • hold a valid U.S. driver's license for the class of vehicle you drive, and have at least one year of licensed driving experience in the United States, or three years if you are under 23;

  • pass a criminal background check and a motor vehicle record check performed by a consumer reporting agency, which you authorize through a separate written disclosure and consent under the federal Fair Credit Reporting Act and applicable state law, and pass re-checks at least once a year and whenever state law requires;

  • drive an eligible vehicle that meets RYD4U's and your state's age, condition, seating, and inspection requirements, with current registration;

  • upload clear, current copies of your driver's license, vehicle registration, proof of insurance, and any required vehicle inspection or permit, and keep them current; and

  • meet any additional requirements of the state or city where you drive, such as a local driver permit.

If a background check is the reason you are not approved or are deactivated, you will receive the notices the Fair Credit Reporting Act requires, including a copy of the report and a summary of your rights, and an opportunity to dispute inaccurate information with the consumer reporting agency before a final decision.

Independent contractor relationship

You are an independent contractor operating under the RYD4U brand. You are not an employee, agent, partner, or joint venturer of RYD4U, and you are not entitled to employee wages or benefits from RYD4U. You decide whether, when, where, and how long to drive; whether to accept or decline any ride request; and your route, subject to rider requests and safety. You may use other platforms and run other businesses at the same time, except while you are on a RYD4U ride. RYD4U does not set minimum hours and does not penalize you for declining ride requests. You are responsible for your own taxes. RYD4U will issue the tax forms required by law, such as IRS Form 1099-K or 1099-NEC, and you must provide accurate tax information, such as a Form W-9.

Your contract option

When you sign up, you choose one of two contract options in the RYD4U Driver app. Under both options, you receive 75 percent of the Fare for every ride and RYD4U receives 25 percent. You keep 100 percent of tips.

Option 1, Independent Pro. You carry your own insurance and pay your own business costs. Before you can go online, RYD4U must verify that you have, in your own name and in force:

  • a commercial auto policy or a personal auto policy with a rideshare or TNC endorsement that covers you at all times while you are logged into the RYD4U Driver app, including while waiting for a request, en route to a pickup, and during rides, with at least the coverage types and limits required for TNC drivers by the law of each state where you drive, and in no event less than 1,000,000 dollars of combined single limit liability coverage from acceptance of a ride request until drop-off; and

  • workers' compensation insurance covering you, or, if your state does not allow a sole proprietor to purchase workers' compensation coverage for themselves, an occupational accident insurance policy that provides comparable medical and disability benefits for injuries suffered while driving.

You must upload certificates or declarations pages showing these coverages, add RYD4U as an additional insured or certificate holder where your insurer allows, and notify RYD4U within 2 business days of any cancellation, non-renewal, or reduction. If any required coverage lapses or expires, the app will prevent you from going online until current coverage is verified. Under Option 1, you pay all costs of your business, including fuel, maintenance, repairs, insurance premiums, licensing, phone and data, tolls you incur that are not reimbursed by the rider, and taxes.

Option 2, RYD4U Covered. RYD4U provides rideshare insurance coverage for you while you are logged into the RYD4U Driver app, through policies maintained by RYD4U with licensed insurers, comparable to the coverage that leading TNCs provide:

  • While you are online and waiting for a ride request: third-party liability coverage of at least 50,000 dollars per person and 100,000 dollars per accident for bodily injury and 25,000 dollars for property damage, or the higher amount your state requires, which applies when your personal auto policy does not.

  • From the moment you accept a ride request until the rider leaves the vehicle: 1,000,000 dollars of third-party liability coverage; uninsured and underinsured motorist bodily injury coverage of at least the amount required by your state and up to 1,000,000 dollars where available; and contingent comprehensive and collision coverage for your vehicle up to its actual cash value, with a 2,500 dollar deductible, if you carry comprehensive and collision coverage on your personal auto policy.

  • Occupational accident coverage for injuries you suffer while online, including medical expenses and disability payments, where available in your state.

Coverage applies only while you are logged into the RYD4U Driver app and ends when you go offline. Coverage is subject to the terms, conditions, and exclusions of the policies, which RYD4U makes available in the Driver app under Account, then Insurance. You must still keep a personal auto policy that meets your state's requirements. Under Option 2, you pay your own vehicle and operating costs, such as fuel, maintenance, phone and data, and taxes, but RYD4U pays the cost of the Option 2 insurance described above and does not deduct it from your 75 percent share.

Switching options. You may switch between Option 1 and Option 2 at any time in the Driver app under Account, then Contract option, by accepting the agreement for the new option. You cannot switch during a ride. A switch to Option 2 takes effect at 12:00 a.m. Central Time on the day after you accept it. A switch to Option 1 takes effect at 12:00 a.m. Central Time on the day after RYD4U verifies your Option 1 insurance. Your earnings records show which option applied to each ride.

Fares, pay, and payouts

"Fare" means the amount charged to the rider for a ride, including the base amount, time and distance charges, busy pricing, wait time fees, and cancellation fees, after any discount funded by the rider's membership or promotion has been applied in the way shown in your earnings record. The Fare does not include tips, tolls, airport fees, government-imposed fees, and taxes. Tips are paid 100 percent to you. Tolls you pay are reimbursed to you in full when the app records them or you submit them through the app. Airport fees and government fees are passed through to the airport or government that charges them. RYD4U does not take any other deduction from your share. When RYD4U funds a promotion for a rider, your 75 percent share is calculated on the Fare before the RYD4U-funded promotion. Every ride offer shows the estimated Fare and your estimated earnings before you accept, and every completed ride shows the Fare, your 75 percent share, RYD4U's 25 percent share, tips, and pass-through amounts in the Driver app under Account, then How your pay works, and in your earnings history.

RYD4U collects the Fare from the rider as your limited payment collection agent and pays your share to you through Stripe Connect. You must complete Stripe's identity and bank account verification to receive payouts. Standard payouts are sent automatically each week at no cost. If RYD4U offers an optional instant payout, any fee is shown before you confirm, and you can always choose the free standard payout instead. If you believe a payment is wrong, report it in the app within 90 days.

Quests

RYD4U may offer Quests, which are bonuses for completing a set number of eligible rides within a set time period and area. Each Quest's rules, eligible ride types, time period, and bonus amount are shown in the Driver app before the Quest starts. Quest bonuses are paid by RYD4U in addition to your 75 percent share and are included in your next payout after the Quest ends. Rides that are canceled, fraudulent, or manipulated do not count. RYD4U may change or end future Quests, but will pay any bonus you have already earned.

The RYD4U LED sign

RYD4U provides each approved driver one RYD4U LED car sign at no cost. You must display the sign, powered on and visible from outside the vehicle, at all times while you are online or on a RYD4U ride, and you must turn it off or remove it when you are offline. Each time you go online, the app asks you to confirm that the sign is on and displayed. The sign remains RYD4U's property. You may not modify it, sell it, lend it, or use it when not online with RYD4U. If the sign is lost, stolen, or damaged, report it in the app and RYD4U will send a replacement. If you stop driving with RYD4U for any reason, including deactivation or account deletion, you must return the sign within 30 days using the free prepaid return shipping label RYD4U emails to you, or by delivering it to RYD4U at 2376 E Sooner Road, Blanchard, OK 73010. Returning the sign is free. If the sign is not returned within 30 days after our last written reminder, RYD4U may seek its return or the replacement cost of the sign shown in the Driver app when it was issued, as permitted by law.

Vehicle, conduct, and compliance

You must keep your vehicle clean, safe, and in good working order; follow all traffic laws; never use a handheld phone while driving; not drive while impaired or fatigued; not drive more than 12 hours in any 24-hour period, and go offline for at least 6 hours when the app tells you that you have reached that limit; not solicit or accept street hails or cash rides off the app; and comply with all TNC and local laws where you drive. You must accept riders with service animals and must not discriminate. You consent to RYD4U collecting your location while you are online, including when the app is in the background, as described in the Privacy Policy.

Ending your relationship

You may stop driving at any time without penalty. RYD4U may deactivate your driver account as described in Section 6, and you may appeal any deactivation. Earned and unpaid amounts are paid to you in your final payout.

8. PAYMENT

Charges and upfront prices

Your use of the Services may result in charges for rides and other services ("Charges"). Before you confirm a ride, the app shows you an upfront price that includes all Charges RYD4U expects to apply, including applicable fees and taxes. RYD4U is transparent about pricing: there are no hidden fees. Every fee that may apply to your ride is described in the app before you book, and every fee charged appears as a separate line on your receipt. Your final price may differ from the upfront price only if you change the destination, add stops, the route changes significantly at your request, the ride takes significantly longer because of your actions, tolls or airport fees apply that were not included in the estimate, or wait time or cancellation fees apply as described below. If your final price is higher than the upfront price for any other reason, contact us and we will adjust it.

How prices are set

RYD4U sets prices by region using a base amount plus time and distance charges, and our regional prices are set to be in line with the prevailing rideshare market in that region. Prices may change with demand. When demand is high compared with the number of available drivers, RYD4U may apply busy pricing, which multiplies the time and distance portion of the price. RYD4U caps busy pricing at 1.5 times the standard price, so you will never pay more than 1.5 times the standard price because of demand. When demand is low, RYD4U may apply slow pricing, which lowers prices. The app tells you when busy or slow pricing applies before you book.

Fees that may apply

  • Airport fees: fees charged by an airport for pickups or drop-offs are passed through at the amount the airport charges, without markup.

  • Tolls: tolls on your route are added at their actual cost.

  • Government fees and taxes: fees and taxes required by a state, city, or airport authority are added as required by law.

  • Cancellation fee: you may cancel without charge within 2 minutes after a driver accepts your request, or at any time before then. If you cancel after that, or after the driver has arrived, a cancellation fee may apply. The amount for your region and ride type is shown in the app before you book and before you confirm a cancellation. You will not be charged a cancellation fee if the driver is running significantly later than the arrival time first shown.

  • Wait time fee: af

TERMS

• Cancellation fee: you may cancel without charge within 2 minutes after a driver accepts your request, or at any time before then. If you cancel after that, or after the driver has arrived, a cancellation fee may apply. The amount for your region and ride type is shown in the app before you book and before you confirm a cancellation. You will not be charged a cancellation fee if the driver is running significantly later than the arrival time first shown.

  • Wait time fee: after your driver arrives, you have 2 minutes to begin your ride at no charge. After that, a per-minute wait time fee shown in the app applies. If you have not arrived after 5 minutes, the driver may cancel and a no-show fee equal to the cancellation fee may apply.

  • Cleaning or damage fee: if you or your guests cause damage to a vehicle or a mess requiring professional cleaning, a fee covering the reasonable cost of repair or cleaning may be charged after RYD4U reviews photos or other documentation from the driver. You will be notified and may dispute the fee through the app.

  • Lost item return: if you arrange through the app for a driver to return a lost item to you, any return fee is shown before you confirm, and 100 percent of it goes to the driver.

RYD4U does not charge a booking fee or a fee to use the apps.

Payment methods

Payments are processed by Stripe. You may pay with a credit or debit card, Apple Pay, Google Pay, RYD4U wallet credit, or a business profile. RYD4U never stores your full card number; Stripe stores it. By adding a payment method, you authorize RYD4U and Stripe to charge it for your Charges, including a temporary authorization hold when you request a ride, which is released or converted to the final charge after the ride. If your selected payment method fails, you authorize RYD4U to charge another payment method saved to your account. Your card details may be updated automatically if your card issuer provides new details.

Tips

Tipping is optional. You may tip your driver in the app during or after the ride. 100 percent of every tip goes to the driver. RYD4U does not designate any part of the Fare as a tip.

Refunds and corrections

If you believe a Charge is wrong, request a review in the app under Help, or email support@ryd4u.com, within 30 days after the Charge. A RYD4U staff member will review it and respond. If the Charge was wrong, we will refund or adjust it. Charges are otherwise final, except as required by law.

Promotions and referrals

RYD4U may offer promotions, discounts, or referral credits. Each promotion has terms shown in the app, may have an expiration date, has no cash value, and may not be transferred. RYD4U may end a promotion at any time, but will honor promotional credit already in your account until it expires. Promotional offers may differ between users.

RYD4U One membership

RYD4U One is an optional paid membership available in an Individual plan and a Business plan. Membership benefits may include discounts on eligible rides, airport and traveler deals, and partner perks. The current price, billing period, and benefits of each plan are shown in the app before you join, and you will not be charged until you confirm. RYD4U One membership does not renew automatically unless you choose an auto-renewing plan. If you choose an auto-renewing plan, the app will show the renewal price and date before you confirm, RYD4U will send you a reminder before each annual renewal and any renewal after a free trial, and you may turn off auto-renewal at any time in the app under Account, then RYD4U One, with one tap and no need to contact us. If you cancel, your benefits continue until the end of the period you paid for. If RYD4U changes a plan's price, the new price applies only from your next billing period and only after we notify you at least 30 days in advance. Member discounts and other discounts do not stack unless the app says so; you receive the larger discount. A Business plan is purchased by a Business Customer for the team members it designates.

Gift cards and wallet credit

RYD4U gift cards may be purchased in the app and delivered by email. When redeemed, the gift card value is added to the RYD4U wallet of the account that redeems it and is applied to Charges before your other payment methods. RYD4U gift cards do not expire and have no purchase, activation, dormancy, or service fees. Gift cards are not reloadable and cannot be redeemed for cash, except where state law requires cash redemption of a small remaining balance, in which case you may request it by emailing support@ryd4u.com. Treat gift card codes like cash; RYD4U is not responsible for a code that is lost, stolen, or redeemed by someone else before you report it. Wallet credit cannot be transferred between accounts.

Business profile billing

Business rides are charged to the Business Customer as described in Section 5.

However, you may bring an individual claim in the small claims court of the county where you live, and a claim for personal injury or death may also be brought in the courts of the county where the incident occurred if the law of that state requires.

The coverages described in Section 7 for Option 2 drivers are subject to the terms, conditions, and exclusions of the actual policies. RYD4U may change insurers or policy terms, but will not reduce Option 2 coverage below the levels described in Section 7 without giving Option 2 drivers at least 30 days' notice and the right to switch options or stop driving.
